Before November 21, 2025 — sending an offer letter was considered good practice. A professional courtesy. Some companies did it properly, some sent a casual email, and honestly, nobody faced serious consequences for cutting corners. That changed when India’s new Labor Codes came into force.
A written appointment letter is now legally mandatory. For every worker. Permanent employee, contract staff, fixed-term hire, gig worker — doesn’t matter. There is no minimum company size. No salary threshold. Even daily wage workers must receive a written letter now. I know this surprises a lot of people when I tell them. Most business owners and HR managers assume this rule applies to bigger companies. It doesn’t. It applies to everyone.
And here’s what makes this more urgent — your old offer letter template is probably not compliant anymore. Because along with making letters mandatory, the Labour Codes also changed how wages are defined, how salary must be structured, and what must be disclosed upfront.

Offer Letter vs Appointment Letter — Let Me Clear This Up
I get this question a lot. People use these terms interchangeably, and it causes real confusion. They are two different documents.
An offer letter goes out before the candidate joins. It says — here’s the role, here’s the compensation, here are the conditions. Please accept if you agree. It’s conditional. It gets binding once the candidate signs and accepts.
An appointment letter goes out on or after the joining date. It’s the full employment document — company policies, HR rules, detailed terms of service, everything. Both are important. In this article, I’m focused on the offer letter — the one you send before Day one.
What Goes Into an Offer Letter Format in India in 2026
Let me walk you through this practically. No legal textbook language. Just what I’ve seen actually matters — and what creates problems when it’s missing.
Your company details
Write the full legal name of your company and your registered office address. And please — put the name of the actual person signing the letter. “HR Department” is not a valid signatory. A real person’s name must be there.
The candidate’s details
Full name and address. Sounds basic. But I’ve seen offer letters that just say “Dear Rahul.” That’s not enough.
Job title and department — be specific
This is where vagueness creates problems. “HR Executive — Payroll” is better than “HR.” “Software Engineer — Backend” is better than “Engineer.” The more specific you are, the less room there is for a dispute later about what role was actually offered.
Reporting structure
Who does this person report to? Write the manager’s name and designation. Especially in small companies where people wear multiple hats — clarity here saves confusion later.
Work location
If it’s office — write the address. If it’s remote or hybrid — write it explicitly. “As required by management” is not an answer. Courts have looked at work location in employment disputes. Be clear.
Date of joining
Please write a specific date. “July 15, 2026.” Not “immediately.” Not “as soon as possible.” I’ve seen candidates and companies argue over joining dates because the offer letter was vague. A specific date removes all of that.
Salary and CTC breakup
This is the most important section — and the most commonly done wrong. Your salary structure must reflect the 50% Basic Salary Rule under the Code on Wages 2019. Basic salary + Dearness Allowance must be at least 50% of total CTC. If it’s less, the excess allowances get pulled back into the wage base — increasing your PF, ESI, and gratuity liability.
A compliant CTC breakup looks like this:

PF and ESI disclosure
If you have 20 or more employees, PF is mandatory. If 10 or more, ESI applies for employees earning up to ₹21,000 a month. Your offer letter must mention both — just one line is enough. Something like “PF will be deducted at 12% of Basic Salary. ESI applicable where eligible.”
I’ve seen employees challenge companies on this later — “you never told me about these deductions.” Don’t give anyone that opening.

Probation period
Mention the duration — typically 3 to 6 months. Also mention the notice period during probation, which is usually shorter than post-confirmation notice. Both in the offer letter. Both clearly written.
Notice period after confirmation
Whatever your policy is — write it. 30 days, 60 days, 90 days. Don’t leave it for the appointment letter. Candidates plan their exits based on this.
Conditions for the offer — this is your protection
This one line can save you from a lot of trouble. Something like — “This offer is conditional on satisfactory background verification, submission of valid identity and educational documents, and no conflicting obligations from prior employment.”
Without this, if a background check throws up something serious, withdrawing the offer becomes a legal conversation. With this clause, you have a clear documented basis.
Offer validity date
Give the candidate a deadline to respond. 3 to 7 days is fair. “This offer is valid until [specific date].” Without this, candidates sit on your offer for weeks while interviewing elsewhere — and you lose other candidates in the meantime.
Confidentiality
A brief mention that the employee agrees not to share company information. The detailed NDA can come with the appointment letter. But a basic line here sets the right expectation from day one.
Authorized signature
The person signing must actually have the authority to make employment offers. Not just any HR team member.
